Terms of Service

These terms are the agreement between Countrz (“we,” “us”), and the restaurant or business that hires us to build its ordering website (“you”). By accepting a quote or paying a deposit, you agree to them on behalf of your business and confirm you are authorized to do so.

1.What we do

We design, build and launch a pickup ordering website for your restaurant, with online ordering, card payments and a live order dashboard, and we set up its hosting and domain. The package, price and estimated timeline for your project are set out in the written quote we send you (your “quote”). If your quote and these terms ever disagree, your quote wins for that project.

2.The free mockup

Before you commit, we may send you a free mockup of your site. It is yours to look at with no obligation. You only owe us anything once you accept a quote.

3.Price and payment

  • The price is a one-time fee for building your website, shown in your quote. It also covers your hosting and domain for their first billing period (see section 6).
  • We ask for 25% as a deposit to start the work, and the remaining 75% before your site goes live.
  • Your site launches once the full price has been paid.
  • From launch, there is a service fee of $29 per month, billed monthly in advance. It covers support, maintenance, security and updates for your ordering system and dashboard. It is separate from your hosting and domain renewals.
  • Prices do not include taxes, which are added where required.
  • Anything outside your quote, such as extra pages or new features, is quoted separately and only done once you approve it.

4.What we need from you

To build your site we need your menu, prices, photos if you have them, logo, hours, location, allergen information, and access to set up your domain and Stripe account. Timelines depend on getting these from you. You are responsible for making sure everything you give us is accurate.

5.Revisions and launch

Your price includes two rounds of revisions to the design before launch. We will show you the finished site to approve before it goes live. Further changes before launch are quoted before we do them.

After launch you can update your menu, prices, hours and availability yourself from your order dashboard. We are also happy to make small updates for you on request, and we will quote larger changes before starting.

6.Hosting, domain and support

Included at launch. Your price covers setting up your hosting and your domain, and paying for the first billing period of each.

Renewals are paid by you. From the next payment date onward, hosting and domain renewals are your responsibility. What they cost depends on your domain and the hosting your site needs, so we will tell you the exact prices and renewal dates once we have the information we need from you, before your site launches. We will also remind you before each payment is due.

If a renewal is not paid, your website may go offline and your domain may expire and become available for someone else to register. We are not responsible for losses caused by a missed renewal.

Support is included in your monthly service fee and is by email at countrz.support@gmail.com. We aim to reply within one business day, and sooner for problems that stop you taking orders.

We work to keep your site available around the clock, but we cannot guarantee that it will never be interrupted, for example during maintenance, which we try to schedule outside typical restaurant hours, or because of problems with the internet or the providers we rely on. Keep a backup way to take orders, such as your phone.

7.Payments from your customers

Orders placed on your website are paid by card through Stripe and paid out to the Stripe account you connect. Stripe’s processing fees apply to those payments. Countrz does not take a commission on your orders.

You are the seller. You are responsible for your prices, sales tax, refunds, and any disputes or chargebacks from your customers, and you agree to Stripe’s terms when you connect your account.

8.Your responsibilities as the restaurant

  • Keep your menu, prices, hours and item descriptions accurate and up to date.
  • Provide accurate allergen and ingredient information and follow all food safety rules.
  • Prepare and hand over the orders placed through your website, and deal directly with customers about them.
  • Hold any licenses you need, including for alcohol if you sell it, and follow the laws that apply to your business.
  • Only give us content you own or have permission to use.

9.Who owns what

Your content and data belong to you. This includes your menu, prices, photos, logo, brand, domain name, and the information your customers give when they order. You give us permission to use it only to build, host and support your website.

Your customers’ data is yours. We handle it only on your behalf. We do not sell it, we do not use it for our own marketing, and we do not share it with other restaurants. See our Privacy Policy for details.

Our tools stay ours. The underlying ordering software, dashboard, code and design templates we use to build sites belong to Countrz. You have the right to use your website for as long as we host it.

We may show your finished website in our portfolio and on social media. If you would rather we did not, just tell us.

10.Domains

Your domain is registered in your business’s name, so you own it. If you already have a domain, we will use it and help you point it at your new site. Either way, renewing it after the first billing period is up to you (see section 6).

11.Cancelling

  • Before launch, you can cancel at any time. The deposit covers design work already done and is not refundable once work has started, but you will not owe the remaining balance.
  • If we are unable to deliver your site, we will refund what you have paid for work not delivered.
  • You can cancel the monthly service fee at any time. It stops at the end of the month you have already paid for, and it is not refunded for partial months.
  • If the service fee is cancelled, or is unpaid for 14 days after we remind you, we may pause online ordering and your dashboard. Your content, domain and customer data remain yours, and we will send you a copy on request.
  • After launch, you can stop using your site at any time. Ask us within 30 days and we will send you a copy of your menu and order data, after which we delete it, except records we are legally required to keep.
  • We may stop hosting your site with 90 days’ notice, giving you time to move. We may suspend it straight away if it is used for anything illegal, if payment is not made, or if it puts other sites at risk.

12.When orders go wrong

Countrz provides the website. The sale is between you and your customer, so you are responsible for the food, the order, and making things right with your customer. We are not responsible for orders that are missed, delayed or incorrect, or for sales you lose, because of an outage, a mistake in your menu or settings, a problem with a customer’s payment, or anything else outside our reasonable control.

13.Disclaimers

Except as stated in these terms, your website is provided “as is” and “as available,” and we disclaim all other warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent the law allows.

14.Limits on our liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special or consequential damages, or for lost profits, revenue, sales or data. Our total liability for any claim relating to your website is limited to the build fee you paid us plus the service fees you paid in the 12 months before the claim.

Nothing in these terms limits liability that cannot legally be limited, such as liability for fraud or for death or personal injury caused by negligence.

15.Indemnity

You agree to cover us for claims, losses and reasonable legal costs that arise from the food and goods you sell, the content you gave us, your dealings with your customers, or your breach of these terms or the law.

16.Changes to these terms

We may update these terms. The terms in effect when you accepted your quote apply to that project. We will give you at least 30 days’ notice by email before changing the monthly service fee. If we make a significant change that affects hosting or support for your live site, we will email you at least 30 days before it takes effect.

17.General

These terms are governed by the laws of the State of New Jersey, and any dispute will be handled in the state or federal courts located in New Jersey. If any part of these terms cannot be enforced, the rest still applies. These terms, your quote and our Privacy Policy are the entire agreement between us.
